Official Rules for the
McDonald's 2001 Instant Giveaway

The 2001 Pick Your Prize Monopoly® Game at McDonald's ("McDonald's Monopoly® Promotion") provides entrants a chance to win prizes instantly. All McDonald's Monopoly® Promotion game stamps have not yet been distributed. Therefore, pursuant to its official rules, the McDonald's Monopoly® Promotion will continue until all McDonald's Monopoly® Promotion game stamps are distributed. Notwithstanding, on or about August 21, 2001, the McDonald's Monopoly® Promotion was suspended with respect to the two (2) High Level $1,000,000 prizes ("McDonald's Monopoly® Promotion $1,000,000 prizes"), and the awarding of the McDonald's Monopoly® Promotion $1,000,000 prizes has been modified as set forth below (the "Instant Giveaway"). The Instant Giveaway will provide an alternate method of awarding the McDonald's Monopoly® Promotion $1,000,000 prizes. The Instant Giveaway will also award $8,000,000 in additional cash prizes to address issues relating to prior McDonald's promotional games. The Instant Giveaway is subject to these Official Rules (the "Instant Giveaway Official Rules"). THE INSTANT GIVEAWAY DOES NOT IN ANY WAY MODIFY THE REDEMPTION OF MCDONALD'S MONOPOLY® PROMOTION GAME STAMPS OTHER THAN WITH RESPECT TO THE MCDONALD'S MONOPOLY® PROMOTION $1,000,000 PRIZES; ALL OTHER MCDONALD'S MONOPOLY® PROMOTION GAME STAMPS WILL CONTINUE TO BE HONORED. Please refer to the McDonald's Monopoly® Promotion Official Rules for information regarding redemption of McDonald's Monopoly® Promotion game stamps and submit such game stamps for redemption as outlined therein. If there is any conflict between the McDonald's Monopoly® Promotion Official Rules and these Instant Giveaway Official Rules, the Instant Giveaway Official Rules shall govern.

NO PURCHASE NECESSARY. MAKING A PURCHASE WILL NOT INCREASE YOUR CHANCE OF WINNING. The Instant Giveaway is available in McDonald's Corporation ("Sponsor") restaurants in the U.S., Guam, Saipan, Bahamas, Curacao, Aruba, U.S. Virgin Islands, St. Maarten, St. Thomas, St. Croix, Puerto Rico, Canada, Suriname and Trinidad (the "Territory") and only legal residents of the Territory are eligible to participate. The Instant Giveaway begins on August 30, 2001 and ends on September 3, 2001 ("Promotional Period"). See Rule 7 for full Instant Giveaway Schedule details. Canadian residents are subject to the Canadian 2001 Instant Giveaway Game Official Rules which are available in-restaurant.

1. HOW TO ENTER

Visit any McDonald's restaurant in the Territory during the Promotional Period and upon visiting the restaurant you may be notified that you are a winner, subject to verification. Limit one entry per eligible person per "visit." A "visit" shall be defined as entry to any McDonald's location during a two (2) hour period during the Promotional Period. "Entry" (or an "Entrant") shall be defined as a person (a) entering through any consumer door into the interior of the restaurant (i.e., not simply entering a vestibule), (b) appearing at any McDonald's drive-thru menu board in a motor vehicle, or (c) with respect to any McDonald's location without a consumer door, appearing within the restaurant premises. Drive-thru visits shall entitle only the driver of the motor vehicle for entry.

NOTE: You are not a winner of any prize until you have been verified as a winner by the independent judging organization. All prizes are detailed in Rule 3 below, with the odds of winning as set forth in Rule 3 below. All potential winners must be verified in accordance with Rule 6 below. You must comply with these Instant Giveaway Official Rules and the redemption instructions of the independent judging organization in order to be declared eligible to win the prize.

2. WINNER SELECTION PROCESS

Each day of the Promotional Period, one (1) Grand Prize and ten (10) First Prizes will be randomly awarded among the entire universe of Entrants. An independent judging organization will randomly select the winners in the Territory during the Promotional Period to receive the corresponding prizes. The selected Entrants will be identified as potential winners by the independent judging organization. The potential winners will be notified, in person, at the restaurant, upon identification by the independent judging organization and will be required to take part in the verification process. ONLY THE INDEPENDENT JUDGING ORGANIZATION CAN DESIGNATE AND/OR VERIFY POTENTIAL WINNERS AS OUTLINED IN RULE 6. Verified prize winners will be notified by phone or mail.

Note: You may win more than one prize, but you are not a winner of any prize until your eligibility, and your compliance with these Instant Giveaway Official Rules, has been verified by the independent judging organization in accordance with these Instant Giveaway Official Rules.

3. PRIZES/ODDS DETAILS

Only the specified number of prizes will be available to be awarded. One (1) Grand Prize and ten (10) First Prizes will be randomly awarded each day of the Promotional Period. If, for any reason, any prize is not awarded on any designated day, such prize will be awarded on the following day, if applicable. To the extent that any potential prize winner is disqualified after the conclusion of the Promotional Period, through no fault of Sponsor, the corresponding prize will not be awarded.

Prizes:

Grand Prizes: $1,000,000. Five (5) winners will each receive One Million Dollars paid as Fifty Thousand Dollars ($50,000) cash a year for twenty years, without interest. Note: Other details of prizes may be provided on notification to winner.

First Prizes: $100,000. Fifty (50) winners will each receive a lump sum payment of One Hundred Thousand Dollars ($100,000). Note: Other details of prizes may be provided on notification to winner.

Total value of all prizes is $10,000,000.

Odds: The odds of winning a prize are based upon the number of eligible entrants each day of the Promotional Period and the order of entry.

4. GENERAL CONDITIONS OF PARTICIPATION

Prize verification materials submitted become the property of Sponsor and will not be returned. No substitution of any prize will be provided, except as specified herein or in the case of extraordinary circumstances at the sole discretion of the Sponsor. Any substitution made will be of equal or greater value. Upon delivery to a designated address in the participating Territory, Sponsor will be deemed to have awarded the prize to the winner with winner assuming full responsibility for the prize. If any correspondence of independent judging organization or any prize is returned as undeliverable, the corresponding prize will be forfeited and may be awarded to an alternate winner. An officially verified winner may transfer his/her prize without consideration, to another eligible person prior to award ONLY if authorized in writing by the independent judging organization, at Sponsor's sole discretion. Requests for transfer must be in writing and should be included as part of the prize verification process.

By participating in the Instant Giveaway, Entrant agrees to abide by and be bound by these Official Rules and by the decisions of the Sponsor and the independent judging organization, which are final and binding in all respects. Entrant waives the right to assert as a cost of winning any prize any and all costs of verification and redemption or travel to redeem said prize and any liability and publicity that might arise from redeeming or seeking to redeem said prize. Applicable taxes on a prize (if any) are the sole responsibility of the prize winner. If required by law, Sponsor or its agents shall require payment from prize winner to remit to the appropriate taxing authorities the amount of any tax or taxes due.

POTENTIAL PRIZE WINNER WILL BE REQUIRED, AS A CONDITION OF WINNING A PRIZE, TO SIGN AND RETURN AN AFFIDAVIT OF ELIGIBILITY/LIABILITY RELEASE, AND, WHERE LEGAL, A PUBLICITY RELEASE, AND ANY APPLICABLE FORMS REQUIRED BY TAX AUTHORITIES. Should a prize winner make any false statement in any document referenced above, the winner will be required to promptly return to Sponsor, upon demand, his/her prize. By participating in the Instant Giveaway, winner releases and agrees to hold harmless Sponsor, and its licensees, franchisees, parents, affiliates, subsidiaries, local corporate advertising cooperatives, advertising and promotion agencies, and all of their respective directors, officers, employees, representatives and agents, from and against any and all liability for any loss, property damage or damage to persons, including, without limitation, death, and injury, due in whole or in part, directly or indirectly, from or arising out of participation in this Instant Giveaway, or participation in any Instant Giveaway related activity, or the receipt, use or misuse of prize. By taking part in the prize verification process, verified winners authorize McDonald's and their promotional partners to use their name, address (city, state and country) and/or their photograph, any taped appearance or interview with them or any likeness of them, their voice and/or any statements made by or attributed to them, in perpetuity, in connection with the publicity, advertising or promotional activities for the Instant Giveaway or any other like or similar future promotion (where legally permissible), in any and all media now known or hereafter developed (including, without limitation, print, broadcast and Internet), and to the use of statements made by or attributed to winner relating to McDonald's, and any and all rights to said use, without further compensation.

Subject to any governmental approval which may be required, Sponsor reserves the right, without prior notice and at any time, to terminate or suspend the Instant Giveaway, in whole or in part, or modify the Instant Giveaway in any way should any factor (including but not limited to fraud or security breach) interfere with the Instant Giveaway's proper conduct as contemplated by these Official Rules, or if Sponsor believes that the Instant Giveaway has been or will be compromised in any way. Further, Sponsor reserves the right to void any potential winner, if Sponsor believes such potentially winning entry was due to something other than that contemplated by these Official Rules. Without limiting the generality of the foregoing, if through errors, or for any other reason, more potential winners are notified than intended and as indicated in these Official Rules, the potential winners notified, or remaining yet to be verified potential winners, as the case may be, at Sponsor's sole discretion, may be entered in a random drawing to award the remaining prizes. Only the prizes described and quantity of prizes offered in these Official Rules will be available to be won in this Instant Giveaway. It is the Entrant's responsibility to ensure that he/she has complied with the conditions contained in these Official Rules. Promotion void in whole or in part where prohibited by law.

5. ELIGIBILITY

The Instant Giveaway is offered at McDonald's restaurants in the Territory and it is open only to legal residents of the U.S., Guam, Saipan, Bahamas, Curacao, Aruba, U.S. Virgin Islands, St. Maarten, St. Thomas, St. Croix, Puerto Rico, Canada, Suriname and Trinidad. There is no age requirement to enter this Instant Giveaway. In the event that a prize is won by a minor, it will be awarded only in the name of his/her parent or legal guardian in trust for the minor and such parent or legal guardian will be responsible for causing all applicable taxes to be paid. Persons in any of the following categories are NOT eligible to participate or win prizes in the Instant Giveaway: (a) persons who on or after October 1, 2000, were or are employees or agents of Sponsor, or its subsidiaries, affiliated companies, franchisees, or service agencies, or independent contractors; (b) individuals engaged in the development, production or distribution of materials for this Instant Giveaway, the McDonald's Monopoly® Promotion or otherwise involved in the judging or operation of this Instant Giveaway or the McDonald's Monopoly® Promotion; and (c) persons who are immediate family (defined as mother, father, sister, brother, daughter, son or spouse) of any person in any of the preceding categories, regardless of where they live; or who reside in the same household, whether related or not, as any person in any of the preceding categories.

6. VERIFICATION

Prize winners' eligibility is subject to verification by the independent judging organization. All decisions of Sponsor and the independent judging organization are final, binding and conclusive in all matters. MCDONALD'S EMPLOYEES OR MANAGERS CANNOT DESIGNATE OR VERIFY POTENTIAL WINNERS. ONLY THE OFFICIAL INDEPENDENT JUDGING ORGANIZATION CAN DESIGNATE OR VERIFY POTENTIAL WINNERS.

IMPORTANT: ANY PERSON ATTEMPTING TO DEFRAUD OR IMPERSONATE MCDONALD'S IN ANY WAY IN CONNECTION WITH THIS INSTANT GIVEAWAY WILL BE PROSECUTED TO THE FULLEST EXTENT OF THE LAW.

7. INSTANT GIVEAWAY SCHEDULE

On or about August 21, 2001, the McDonald's Monopoly® Promotion was suspended with respect to the two (2) McDonald's Monopoly® Promotion $1,000,000 prizes. The Instant Giveaway, which provides an alternate method of awarding the McDonald's $1,000,000 prizes as well as additional prizes, begins on August 30, 2001 and ends September 3, 2001. Each day the Instant Giveaway runs from 7:00 a.m. local time or upon individual restaurant opening, whichever is later, until ½ hour prior to close of business or 11:30 p.m. local time, whichever occurs first.

8. ARBITRATION

Except where prohibited by law, as a condition of participating in this Instant Giveaway, Entrant agrees that (1) any and all disputes and causes of action arising out of or connected with this Instant Giveaway, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest the Entrant; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than Entrant's actual out-of-pocket expenses (i.e., costs associated with entering this Instant Giveaway), and Entrant further waives all rights to have damages multiplied or increased.

9. CHOICE OF LAW

All issues and questions concerning the construction, validity, interpretation and enforceability of these Instant Giveaway Official Rules, or the rights and obligations of Entrant and Sponsor in connection with the Instant Giveaway, shall be governed by, and construed in accordance with, the substantive laws of the State of Illinois, USA without regard to Illinois choice of law rules.

10. LIST OF PRIZE WINNERS OR INSTANT GIVEAWAY OFFICIAL RULES
